IMPORTANT: This document contains your software licence agreement for use with your isoCell instrument (hereafter the ‘Licence’).

By installing, copying, downloading, accessing or otherwise using the isoCell Software, you are agreeing to be bound by this Licence. If you do not accept and comply with its terms and conditions, you may not use the software or its features. You may contact us to discuss our return policy.

The isoCell Software contains proprietary computer programs owned by or licensed to iotaSciences. It also contains copyrighted open source software programs, collectively referred hereto as the "Open Source Software Programs". Open Source Software Programs are licensed under their own applicable licence terms. A list of the Open Source Software Programs and their applicable terms is included in Appendix 1 to this Licence. In the event of any conflict between the terms under this Licence and the terms of Open Source Software Programs licences, the terms of the Open Source Software Programs licences shall prevail.

THIS LICENCE CONTAINS LIMITATIONS ON WARRANTIES AND/OR REMEDIES. Please refer to section 8 for further details.

IsoCell Software

For the purpose of this Licence, “isoCell Software” means the computer firmware including Boot ROM code and other embedded software provided with the isoCell, any other software, interfaces, content, fonts, documentation, or data originally provided with your isoCell which may be updated or replaced by software updates or system restore software provided by iotaSciences, and any Updates.

Licence

Subject to the terms of this Licence Agreement, iotaSciences grants you a limited, non-exclusive, revocable licence to use the isoCell Software.

You may download, install and use one single copy of the isoCell Software on one single isoCell for use in accordance with this Licence.

Updates

iotaSciences, at its discretion, may make available Updates to the isoCell Software. For the purpose of this Licence, “Updates” means any updates or upgrades, add-on components, and/or supplements that iotaSciences may provide or make available after delivery of your isoCell instrument to its initial buyer. Updates, if any, may not necessarily include all existing software features or new features that iotaSciences releases for newer or different isoCell models. The terms of this present Licence will govern any Updates provided by iotaSciences, unless such updates are accompanied by a separate licence agreement in which case the terms of that licence will govern.

Licence restrictions

Except to the extent that any of the following restrictions is prohibited by applicable law or by licensing terms governing use of Open Source Programs included with the isoCell Software, you may not, and you agree not to enable others to:
1. Copy;
2. reverse engineer, decompile, disassemble, attempt to derive the source code of, decrypt, modify or create derivative works of the isoCell Software;
3. sublicense, lease, rent, assign, distribute, repackage, rebrand, or otherwise transfer or disclose the isoCell Software, any portion thereof or any accompanying documentation to any third party; or
4. cause, assist or permit any third party to do any of the foregoing.
This Licence excludes any right to use or otherwise operate iotaSciences proprietary computer programs and other iotaSciences intellectual property rights in connection with any products, systems, applications or hardware other than devices manufactured by iotaSciences or its subsidiaries.
For the avoidance of doubt, the terms of the Open Source Software Programs licences apply only to open source components of the isoCell Software.
You agree to use the isoCell Software in compliance with all applicable laws and only for purposes that are legal and in accordance with this Licence.
You may not remove, modify or alter any iotaSciences’ copyright or trade mark notice from any part of the isoCell Software.

Reservation of rights

iotaSciences reserves all rights not expressly granted to you.
All rights, including but not limited to copyright to the isoCell Software, remain the property of iotaSciences. Nothing in this Licence shall affect iotaSciences’ ownership of the isoCell Software.

Transfer

Notwithstanding clause 4.a.(iii) above, you may make one permanent transfer of your licence rights under this Licence provided that:

The isoCell and isoCell Software are transferred to the intended recipient of the licence rights (the ‘Recipient’) concomitantly with the rights;
the Recipient agrees to abide by all the terms of this Licence; and
you do not retain any copies of the isoCell Software.

Termination

This Licence shall continue for as long as you use the isoCell Software. This Licence will terminate automatically without notice from iotaSciences if you fail to comply with any of its terms or conditions. Upon the termination of the Licence for any reason:

all licence rights granted herein shall terminate; and
You shall immediately cease all use of the isoCell Software.

LIMITATION OF WARRANTIES AND LIABILITY

Limited Warranty. iotaSciences warrants that properly licensed isoCell Software will perform substantially as described in any iotaSciences materials that accompany the isoCell instrument upon delivery from iotaSciences to the first buyer. This limited warranty does not cover problems that you cause, that arise when you fail to follow instructions, or that are caused by events beyond the reasonable control of iotaSciences. The limited warranty lasts for 12 (twelve) months from the date of delivery by iotaSciences to the first buyer of the isoCell.
Disclaimer. EXCEPT FOR ANY WARRANTY THAT CANNOT BE EXCLUDED BY LAW OR AS OTHERWISE STATED HEREIN, iotaSciences DISCLAIMS ANY AND ALL OTHER WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES AVAILABLE UNDER LAW OR THROUGH COURSE OF DEALING, ON ANY EQUIPMENT MADE AVAILABLE PURSUANT TO THESE TERMS AND CONDITIONS, INCLUDING WITHOUT LIMITATION ALL IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Limited Remedy. If the isoCell Software does not meet the requirements of the limited warranty granted to you under this Licence, iotaSciences will, in its sole discretion, either: (i) repair or replace the isoCell Software at no charge or (ii) accept return of the device on which the software was preinstalled and either replace it or issue a refund and terminate the Licence. This remedy excludes any other remedy for breach of warranty.
Limitation of liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY EXPRESSLY EXCLUDES ANY LIABILITY TO THE RECIPIENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), FOR BREACH OF STATUTORY DUTY, OR OTHERWISE, ARISING UNDER OR IN CONNECTION WITH THIS Licence FOR LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF REVENUE, LOSS OF AGREEMENTS, LOSS OF CONTRACTS, LOSS OF GOOD WILL, LOSS OF USE OR CORRUPTION OF SOFTWARE, DATA OR INFORMATION OR ANY INDIRECT OR CONSEQUENTIAL LOSS.
IN ADDITION, THE COMPANY’S MAXIMUM AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE AGREEMENT, OR ANY PRODUCT OR SERVICE, SHALL BE LIMITED TO £100.

Export control

You must comply with all domestic and international export laws and regulations that apply to the software, which include restrictions on destinations, end users, and end use.

Government End Users

The isocell Software and related documentation are “Commercial Items”, as that term is deﬁned at 48 C.F.R. §2.101, consisting of “Commercial Computer Software” and “Commercial Computer Software Documentation”, as such terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable. Consistent with 48 C.F.R. §12.212 or 48 C.F.R. §227.7202-1 through 227.7202-4, as applicable, the Commercial Computer Software and Commercial Computer Software Documentation are being licensed to U.S. Government end users (a) only as Commercial Items and (b) with only those rights as are granted to all other end users pursuant to the terms and conditions herein.

Severance

If any provision or part-provision of this Licence is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of this agreement.

Governing law and jurisdiction

This Licence and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England.

Each party irrevocably agrees that the courts of England shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this agreement or its subject matter or formation.

Open Source Software Programs

The isoCell Software incorporate various Open Source Software Programs. For a list of these programs and the terms and conditions of their respective licences, please refer to Appendix 1.

FREESCALE END-USER SOFTWARE LICENSE AGREEMENT

This is a license agreement between you (either as an individual or as an authorized representative acting on behalf of your employer) and Freescale Semiconductor, Inc. (“Freescale”). It concerns your rights to use the software provided to you in binary or source code form and any accompanying written materials (the “Software”). The Software may include any updates or error corrections or documentation relating to the Software provided to you by Freescale under this License. In consideration for Freescale allowing you to access the Software, you are agreeing to be bound by the terms of this Agreement. If you do not agree to all of the terms of this Agreement, do not download or install the Software. If you change your mind later, stop using the Software and delete all copies of the Software in your possession or control. Any copies of the Software that you have already distributed, where permitted, and do not destroy will continue to be governed by this Agreement. Your prior use will also continue to be governed by this Agreement.

LICENSE GRANT. COMPLIANCE WITH LAWS; EXPORT RESTRICTIONS. An export occurs when products, technology, or software is transferred from one country to another by any means, including physical shipments, FTP file transfers, E-mails, faxes, remote server access, conversations, and the like. GOVERNMENT RIGHTS. The Licensed Software is a “Commercial Item” as defined in 48 C.F.R. §2.101, consisting of “Commercial Computer Software” and “Commercial Computer Software Documentation,” as such terms are used in 48 C.F.R. § 12.212 or 48 C.F.R. §227.7202, as applicable and are only licensed to U.S. Government end users with the rights as are set forth herein..
HIGH RISK ACTIVITIES. You acknowledge that the Software is not fault tolerant and is not designed, manufactured or intended by Freescale for incorporation into products intended for use or resale in on-line control equipment in hazardous, dangerous to life or potentially life-threatening environments requiring fail-safe performance, such as in the operation of nuclear facilities, aircraft navigation or communication systems, air traffic control, direct life support machines or weapons systems, in which the failure of products could lead directly to death, personal injury or severe physical or environmental damage (“High Risk Activities”). You specifically represent and warrant that you will not use the Software or any derivative work of the Software for High Risk Activities.
CHOICE OF LAW; VENUE; LIMITATIONS. You agree that the statutes and laws of the United States and the State of Texas, USA, without regard to conflicts of laws principles, will apply to all matters relating to this Agreement or the Software, and you agree that any litigation will be subject to the exclusive jurisdiction of the state or federal courts in Texas, USA. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to this Agreement or the Software must be filed within one (1) year after such claim or cause of action arose or be forever barred.
CONFIDENTIAL INFORMATION. You must treat the Software as confidential information and you agree to retain the Software in confidence perpetually, with respect to Software in source code form (human readable), or for a period of five (5) years from the date of termination of this Agreement, with respect to all other parts of the Software. During this period you may not disclose any part of the Software to anyone other than employees who have a need to know of the Software and who have executed written agreements obligating them to protect such Licensed Software to at least the same degree of care as in this Agreement. You agree to use the same degree of care, but no less than a reasonable degree of care, with the Software as you do with your own confidential information. You may disclose Software to the extent required by a court or under operation of law or order provided that you notify Freescale of such requirement prior to disclosure, which you only disclose information required, and that you allow Freescale the opportunity to object to such court or other legal body requiring such disclosure.
PRODUCT LABELING. You are not authorized to use any Freescale trademarks, brand names, or logos.
ENTIRE AGREEMENT. This Agreement constitutes the entire agreement between you and Freescale regarding the subject matter of this Agreement, and supersedes all prior communications, negotiations, understandings, agreements or representations, either written or oral, if any. This Agreement may only be amended in written form, executed by you and Freescale.
SEVERABILITY. If any provision of this Agreement is held for any reason to be invalid or unenforceable, then the remaining provisions of this Agreement will be unimpaired and, unless a modification or replacement of the invalid or unenforceable provision is further held to deprive you or Freescale of a material benefit, in which case the Agreement will immediately terminate, the invalid or unenforceable provision will be replaced with a provision that is valid and enforceable and that comes closest to the intention underlying the invalid or unenforceable provision.
NO WAIVER. The waiver by Freescale of any breach of any provision of this Agreement will not operate or be construed as a waiver of any other or a subsequent breach of the same or a different provision.
